1. Acceptance of Terms

By accessing and using the website, platforms, and services of RealTEK Automation, LLC (DBA InnoStak), including InnoSuite, InnoBots, and Stak Support, you agree to these Terms of Use.

Additionally, since InnoSuite is a whitelabel of GoHighLevel (GHL) and InnoBots is a whitelabel of Closebot, users are also bound by GoHighLevel’s Terms of Service and Closebot’s Terms of Service.

2. Services Provided

- CRM and automation solutions through InnoSuite (powered by GoHighLevel).

- AI chatbot services through InnoBots (powered by Closebot).

- Technical consulting & support through Stak Support, which includes:

- Tech consulting & workflow automation.

- CRM & software integrations.

- Technical troubleshooting & support.

- Website & funnel updates.

*Stak Support services require a separate agreement that outlines specific deliverables, fees, and terms.

3. Payment, Auto-Renewal & No Refunds

- All sales, subscriptions, and service agreements with InnoStak are final and non-refundable.

- Subscriptions (InnoSuite & InnoBots) are billed monthly or annually and auto-renew unless canceled 30 days before the next billing cycle.

- Stak Support contracts have an initial one-year term, after which they renew month-to-month unless canceled with 30 days' written notice.

- Early Termination Fee for Stak Support: Clients canceling within the first year must pay three (3) months of service.

- Failed Payments: If a payment fails and remains unresolved for five (5) days, services may be suspended or terminated.

4. Privacy & Data Protection

By using InnoStak’s services, you consent to our data collection and usage practices as outlined in our Privacy Policy.

Information We Collect

We may collect:

- Personal Information (name, email, phone, company details).

- Technical Data (IP address, browser type, device info, cookies).

- Usage Data (website interactions, feature usage).

- Payment Data (billing details for purchases).
- Communication Data (call recordings, AI chatbot interactions, automated messages, subject to applicable consent laws).

Since InnoSuite is a whitelabel of GoHighLevel and InnoBots is a whitelabel of Closebot, users are also subject to GoHighLevel’s and Closebot’s privacy policies regarding data collection.

How We Use Your Information

We use your data to:
- Deliver Services – Provide CRM automation, AI chatbots, and technical support.

- Communicate – Respond to inquiries, send updates, and marketing materials (with consent).

- Ensure Compliance – Detect fraud, comply with laws (e.g., TCPA, GDPR), and enforce agreements.

- Improve Services – Enhance AI chatbot accuracy and CRM functionality.

Call Recording & AI Communications

- Some services may include call recordings, AI chatbots, and automated messages for quality, training, or compliance.

- Users must comply with one- or two-party consent laws before recording customer calls.

- Users may revoke consent by emailing [email protected] (some data may need to be retained).

5. Warranty Coverage & Limitations

InnoStak provides a 45-day limited warranty on services, ensuring they are free from defects in workmanship and performance as outlined in our Warranty Policy.

- This warranty covers fixes or repairs due to errors caused by InnoStak in coding, integrations, or implementation.

- It does not cover issues resulting from:

- Client misuse or unauthorized modifications.

- Third-party software failures (e.g., updates to GoHighLevel, Closebot, or external platforms).

- Network outages, hardware failures, or external system disruptions.

- The total liability of InnoStak under this warranty is limited to the amount paid for the affected services.

6. Liability & Third-Party Software

- InnoStak is not responsible for failures, bugs, or data loss related to GoHighLevel, Closebot, or third-party integrations.

- AI-generated content is not guaranteed to be accurate; users should verify results before relying on them.

- Users assume all risks associated with using third-party software.

7. Confidentiality & Non-Solicitation

- Both parties agree to maintain confidentiality for two (2) years after service termination.

- Clients may not hire or solicit InnoStak’s employees or contractors for one (1) year after termination. A breach results in liquidated damages equal to 50% of the employee’s/contractor’s annual compensation.

8. Chargebacks & Payment Disputes

- Clients agree not to initiate chargebacks or payment disputes for any service or subscription.

- If a chargeback is initiated, InnoStak reserves the right to suspend all services immediately and may pursue legal action or collections.

- Any fees incurred due to a chargeback will be the client’s responsibility.

9. Termination & Arbitration

- Non-payment, abuse, or violations of these Terms may result in service termination.

- Disputes will be resolved through binding arbitration in Texas (no lawsuits or class actions).

10. Changes to These Terms

InnoStak reserves the right to update or modify these Terms of Use at any time. Any changes will be posted on our website, and it is the client’s responsibility to review the policy periodically.
