Terms of Service

1. Acceptance of Terms
By accessing and using the website, platforms, and services of RealTEK Automation, LLC (DBA InnoStak), including InnoSuite and InnoBots, you agree to these Terms of Use.
Additionally, since InnoSuite is a whitelabel of GoHighLevel (GHL) and InnoBots is a whitelabel of Closebot, users are also bound by GoHighLevel's Terms of Service and Closebot's Terms of Service.
2. Services Provided
InnoStak provides technology, automation, and development services through the following offerings:
Partnership Plans
- Core Partnership – Foundational CRM, automation, funnels, and shared execution support.
- Growth Partnership – Priority execution, advanced integrations, and dedicated technical ownership.
- Product Engineering Partnership – Full-scale product development, platform ownership, and continuous delivery.
- CTO-as-a-Service – Strategic technical leadership, architecture planning, and executive-level advisory.
Project-Based Work
- Statement of Work (SOW) Projects – One-time or scoped engagements with defined deliverables, timelines, and pricing.
Each service, partnership, or project may be governed by a separate agreement, proposal, or scope of work outlining specific deliverables, fees, and terms.
3. Payment, Auto-Renewal & No Refunds
- All sales, subscriptions, partnership plans, and service agreements with InnoStak are final and non-refundable.
- Partnership plans are billed monthly or annually and auto-renew unless canceled with 30 days' written notice prior to the next billing cycle.
- SOW projects follow the payment schedule outlined in the applicable agreement or proposal.
Payment Authorization & Methods
- Client agrees to maintain a valid primary payment method on file for all recurring services.
- Client authorizes InnoStak to automatically charge the payment method on file for all subscription, partnership, and service fees.
- Client agrees to maintain a valid backup payment method to prevent service interruption.
Failed Payments & Payment Recovery
- If a payment attempt fails, InnoStak may automatically retry the charge using any payment method on file.
- Client agrees to promptly update payment information upon notification of a failed transaction.
ACH Requirement for Repeated Failures
- In the event of repeated failed payments, declined transactions, or insufficient funds, InnoStak reserves the right to require ACH (bank debit) autopay as the primary payment method.
- Continued service is contingent upon maintaining a valid and successful payment method.
Service Suspension for Non-Payment
- If a payment remains unresolved for five (5) days after the initial failure, InnoStak reserves the right to pause, limit, or suspend services until the account is brought current.
- While an account is past due:
- No new work will be performed
- No updates, deployments, or support requests will be fulfilled
- Priority execution and access to resources may be revoked
- InnoStak is not responsible for any loss of functionality, revenue, or performance resulting from suspended services due to non-payment.
Reactivation
- All outstanding balances must be paid in full prior to service restoration.
- InnoStak reserves the right to apply a reactivation fee before resuming services.

4. Privacy & Data Protection
By using InnoStak's services, you consent to our data collection and usage practices as outlined in our Privacy Policy.
5. Warranty Coverage & Limitations
InnoStak provides a 45-day limited warranty on services as outlined in our Warranty Policy. This warranty applies to errors directly caused by InnoStak within the scope of delivered work.
This warranty does not cover:
- Client misuse or modification of systems
- Third-party platform issues (including but not limited to GoHighLevel, Closebot, or integrations)
- External outages or service disruptions
Total liability is limited to the amount paid for the affected services. Claims must be submitted within 45 days of delivery.
6. Liability & Third-Party Software
- InnoStak is not responsible for failures related to GoHighLevel, Closebot, or any third-party tools, APIs, or integrations.
- AI-generated content and automation outputs are not guaranteed to be accurate and should be reviewed by the Client.
- Client assumes all risks associated with third-party platforms and tools.
7. Confidentiality & Non-Solicitation
- Both parties agree to maintain confidentiality of proprietary information for two (2) years after termination of services.
- Client agrees not to solicit, hire, or engage InnoStak employees or contractors for one (1) year following termination.
8. Chargebacks & Payment Disputes
- Client agrees not to initiate chargebacks or payment disputes for services rendered.
- In the event of a chargeback or dispute:
- InnoStak may immediately suspend all services
- Client will be responsible for any fees, costs, or damages incurred
- InnoStak reserves the right to pursue collections or legal action
9. Termination & Arbitration
- InnoStak reserves the right to suspend or terminate services for non-payment, abuse, or violation of these terms.
- All disputes shall be resolved through binding arbitration in the State of Texas.
10. Changes to These Terms
InnoStak reserves the right to update or modify these Terms of Use at any time. Updated terms will be posted on the website and become effective upon posting.
